Resale Partner Terms

Capitalized terms used but not defined in this Exhibit A have the meaning given to those terms in the Agreement.  

  1. DESCRIPTION OF SERVICES:

(a) Provider will provide the Services to the Resale Partner Clients, which Services will be provided according to the Terms and Conditions and pursuant to separate licenses between the Resale Partner Clients and Provider, but consistent with the financial terms for such licenses set forth herein.

(b) Provider will provide Resale Partner limited access to utilize Provider’s Dashboard as a Snapshot Sales Engagement Tool, together with necessary access information to enable Resale Partner to access the Resale Partner Data (as defined below) for the purpose of monitoring the Resale Partner Clients’ accounts.

(i) The access time period is for thirty (30) days from the date of installation.

(ii) Access is limited to Resale Partner employees.

(iii) Resale Partner will ensure that proper HIPAA agreements and/or policies are in place with between Resale Partner and Resale Partner Client

(c) With the Snapshot Sales Engagement Tool, Provider will only provide technical support, with IT support for installation only.

(d) Supported Practice Management Software Integration Only.

(e) Provider will provide the following ongoing support & training to Authorized Users:

(i) Each Authorized User will have direct access to Provider’s Data Analyst support, as necessary, to answer questions or provide specific guidance relating to the Services.

(ii) Each Authorized User will have direct access to Provider’s IT support for installation and/or any other technical issues relating to the Services.

(iii) Each Authorized User will have direct access to Provider’s Software Trainers, as necessary, to assist in best practices of utilizing Provider’s Dashboard.

  1. FEES:

(a) Participation in our Reseller Partner program requires a one-year commitment to the monthly membership fee associated with a particular tier (Silver, Gold, Diamond).

(b) License Fees Per Reseller Tier

(i) Silver Tier: Membership Fee $2,000/month

(ii) Gold Tier: Membership Fee $7,500/month

(ii) Diamond Tier: Membership Fee $20,000/month

Partner is responsible for the chosen Reseller Tier membership fee of per month for twelve (12) months and will pay the tiered price for all additionally activated locations for analytics, DSO and data reports and a standard fee for engagement + insurance on a monthly basis. 

(v) The membership can be met with license activations across any of our reseller products (Analytics, Engagement, Data Reports and/or DSO reports).  

(1) The following example assumes analytics license activations only:

(a) For the Silver tier this is a $2000 per month membership fee, the client receives 5 licenses ($2000/$399 = 5). Every additional license above 5 would be $399 each.

(b) For the Gold tier and a $7500 per month membership fee, the client receives 21 licenses. Every additional license above 21 would be $349 each.

(c) For the Diamond tier the $20,000 per month membership fee, the client receives 67 licenses. Every additional license above 67 would be $349 each.

(d) The client is responsible for the membership fee regardless of active licenses. For example, if the client has moved into the Gold Tier, the client has the equivalent of 21 analytics licenses. If the client only has 17 analytics licenses active, the client still pays the $7500 per month fee, but can add active clients to the licenses at no additional charge until all 21 are filled.  

 

(vi) Payment shall be made in advance by Resale Partner on the 1st of each month for the corresponding month’s services.

(vii)Resale Partner’s payment obligation with respect to such licenses shall continue for the Term of this Agreement and are not contingent upon Resale Partner’s receipt of payment from Partner clients.

(viii) Partners can upgrade tiers (with a new one-year commitment to the new monthly membership fee) mid-contract but cannot downgrade tiers mid-contract. Partners can downgrade to a new tier and the membership fee level at the end of their contract.

(c) Miscellaneous Terms

(i) Any licenses vacated or otherwise made available by attrition of Resale Partner Clients can be re-applied to new Resale Partner Clients.

(ii) Resale Partner will not sell product as a stand-alone product for less than market listed price.

(iii) Analytics and Data and DSO reports are tiered pricing products. Engagement + Insurance does not have a tiered pricing option.
